Did I read correctly that even if non-insider unitholders vote down the transaction, H&R REIT owes a $102M termination fee to GO REIT (50%) and "Purchaser" (other 50%), that "Purchaser" being a corporation owned by Tom Hofstedter (page 141, 142 of Circular). (The Arrangement Agreement did not clarify that Purchaser is owned by Hofstedter, only that it and H&R REIT have the same address and Hofstedter signed on behalf of Purchaser).

Therefore, more self-dealing, Tom pockets $51M (minus netting out the 15.9% his insider group owns of HR units) even if the transaction is voted down.

Certainly, more grounds for legal action if any unitholder is motivated to take such action. Such grounds could be against trustees for failing to fulfill fiduciary duties or as an oppression remedy for one class of unitholders (insiders) acting in a way that is oppressive, unfairly prejudicial or unfairly disregards interest (due to self-dealing in the transaction) towards non-insiders (this remedy being available under section 15.02 of the H&R Declaration of Trust).

Of course, to get there, Tom would have to go through the shame of having the transaction being taken to a vote and losing and then possibly not being re-elected at the AGM. But if he finds a way to kill the deal before the vote, the self-dealing looks more apparent (strike deal, kill same deal, pocket $51M...)

What an obvious self serving scam of epic proportions! I don’t think another group could do a better job screwing shareholders out of their share! The fox guarding the hen house! Epic fail in fiduciary duties on all parties responsible for due care of the whole shareholder base! Amazing how people can sit down with this kind of responsibility and be so blatantly obviously they only had their own best interest in mind! Shareholders were forgotten and the result was more like something you would find in the private market! This is a public company with a toxic group of directors! Shame on CIBC as they should have known alot better! Anyone with there name on this deal can’t be trusted going forward! That is obvious! Thanks for the assessment ! Presently ashamed to be a holder of HR stock and hopefully not a bag holder of GO paper which will likely turn out to be stranded capital!
